Revilico Inc. Terms of Service

These Terms of Service ("Terms") govern your access to and use of the platform made available by Revilico Inc. ("Revilico"), which allows users to submit, view, analyze, and have access to Revilico's Operating System, which includes features and tools for Generative Chemistry, Quantum Chemistry, Virtual Cell Lines, AI-Agent Workflows, Molecular Dynamics, and all other features (collectively, the "Service"). Please carefully read these Terms, along with our Privacy Policy, and all other documents referenced in these Terms. Together with these Terms, these documents form a single binding agreement between you and Revilico (the "Agreement").

By accessing or using the Service, or by clicking accept or agree to the Terms when this option is made available to you, you acknowledge that you have read, understood, and agree to be bound by this Agreement. This Agreement may be updated and presented to you from time to time. All changes will be effective as of the "Last Updated" date stated at the top of this page. Continued use of the Services constitutes acceptance of the updated terms. If you do not agree to this Agreement, please stop using or accessing the Service.

1. Access to the Service

1.1 Age Restrictions

The Services are offered to users who are at least 18 years old. By using the Services, you represent and warrant that you meet this age requirement. If you do not meet this requirement, you must stop using the Services immediately.

1.2 User Accounts

To access the Services, you may be asked to provide certain registration details to create a user account. All personal data that you provide to us to create a user account or through the use of any of the features within the Services is governed by our Privacy Policy. The information that you provide must be accurate, complete, and current.

You agree not to provide any other person with access to the Services using your user account, and take full responsibility for any use of and activity on your user account, whether authorized by you or not. Revilico will not be liable for any losses that you may incur as a result of the activity on your user account. You also agree to immediately notify us of any unauthorized access to or use of your account credentials or any other breach of security.

2. Using the Service

2.1 Access Grant, Availability, and Quality

Revilico grants you a limited, revocable, non-sublicensable, non-transferable, and non-exclusive license to use and access the Service during the Term (as defined below), subject to your compliance with this Agreement. The "Service" includes the Revilico operating system and any support services, documentation, and software that Revilico may make available to you. Revilico reserves all rights not expressly granted to you under this Agreement.

The Service is subject to modification and change, including but not limited to the underlying algorithms used and features made available to you. Except as otherwise agreed in a separate written agreement between you and Revilico which incorporate these Terms ("Order"), no guarantees are made with respect to the Service's quality, stability, uptime, or reliability, and we will not be liable if for any reason all or any part of the Service is unavailable at any time for any period.

2.2 User Content

As part of your use of the Service, you may upload, submit, transmit, post, or display data, files, calculations, text, or other materials or information ("User Content") for analysis, processing, or storage. "User Content" also includes any outputs, results, or materials generated by the Service based on or in connection with the content you submit. You represent and warrant that you have all rights, licenses, and permissions needed to input such User Content into the Service and the legal right and authority to grant Revilico the license and rights as set forth herein.

You will not use the Service to transmit or submit any sensitive personal data, such as patient health information, birth dates, social security numbers, or financial information. You are responsible for any and all content you input, create, and share on the Service. Revilico is not responsible for monitoring your use of the Service and does not assume any liability for any issue arising from any User Content, or content created and shared on or using the Service.

2.3 Use Restrictions

Our Service is designed for research, development, and education. Your use of the Service is subject to the rights explicitly granted in this Agreement. You may not use the Service in the following manner or for the following purposes:

• (i) violate any applicable laws;
• (ii) reverse engineer or attempt to derive the source code;
• (iii) infringe third party rights;
• (iv) engage in competitive analysis or build competing products;
• (v) resell or redistribute the Service;
• (vi) share a user account;
• (vii) commit fraud or deception;
• (viii) introduce malware;
• (ix) interfere with the Service or gain unauthorized access.

We reserve the right to monitor your use of the Service and suspend or terminate your user account and access to all or part of the Service for any reason, with or without notice.

3. Intellectual Property

3.1 Revilico's Intellectual Property

Revilico owns all right, title, and interest in and to the Service. Except for your User Content, any trademarks, copyrights, trade secrets, patents, and other intellectual property in the Service belong to Revilico or its licensors. You are not granted any rights to Revilico's intellectual property without prior authorization.

3.2 Ownership of User Content; Rights Granted to Revilico

You retain all right, title, and interest in your User Content. By using the Service and providing or generating User Content, you grant Revilico a perpetual, worldwide, irrevocable, non-exclusive, royalty-free license to use, store, reproduce, distribute, modify, perform, and display such content solely for the purpose of providing the Service to you.

3.3 Publicity

Revilico will request your permission before using your name, logo, or trademark in marketing materials or public statements. If your use of the Service contributes to a scientific or academic publication, you agree to cite Revilico in accordance with any citation guidelines we provide.

4. Billing and Payments

Fees will be billed monthly or annually, based on your plan or Order. Unless otherwise stated, all fees are in U.S. dollars and exclusive of taxes. Payment is due within 30 days of invoice or at the time of billing. Failure to pay may result in suspension or termination of access. All fees are non-refundable unless expressly stated otherwise.

Revilico may invoice through a third-party provider whose billing terms supersede this Agreement solely for billing matters.

5. Term and Termination

This Agreement begins on the date you start using the Service or the effective date of any Order and continues until terminated. Subscriptions will automatically renew unless either party provides notice 30 days prior to renewal. Revilico may suspend or terminate your access for legal, security, or contractual violations. Certain provisions (e.g., payment, IP, limitations, indemnity, dispute resolution) will survive termination.

6. Warranties

6.1 Limited Warranty

Revilico warrants that the Service will perform substantially in accordance with standard documentation and not materially decrease in functionality during your subscription term. Remedy will be limited to repair or replacement.

6.2 Disclaimers

7. Indemnification

You agree to indemnify and hold harmless Revilico and its affiliates, directors, officers, and agents from any third-party claims related to your unauthorized use, breach of this Agreement, or violation of law.

8. Limitation of Liability

9. Dispute Resolution

All disputes will be resolved by binding arbitration through the AAA's International Centre for Dispute Resolution under its Expedited Commercial Rules in Delaware, United States of America. No class actions or jury trials are permitted. Injunctive relief may be sought in court pending arbitration.

10. General Provisions

10.1 Governing Law

This Agreement is governed by the laws of Delaware, excluding conflict-of-law principles.

10.2 Waiver and Severability

Failure to enforce any term is not a waiver. If any provision is found unenforceable, the remainder will still apply.

10.3 Assignments

You may not assign this Agreement without written consent. Revilico may assign freely.

10.4 Trade Controls

You will comply with all applicable export control and sanctions laws. The Service may not be used in embargoed countries or by sanctioned entities.

10.5 Entire Agreement

This Agreement, including referenced documents, is the entire agreement between you and Revilico regarding the Service.
